MappLab Limited – TERMS & CONDITIONS

1. Agreement to Terms
 
By accepting a quote, confirming a project in writing, signing a service agreement, or making any payment to MappLab Limited (“MappLab”, “we”, “our”, “us”), you (“the Client”) agree to be legally bound by these Terms and Conditions.

These Terms apply to all services provided by MappLab unless expressly varied in writing.


2. Scope of Services
 
MappLab provides professional services including, but not limited to:

  • Spatial intelligence and geospatial analysis

  • Multimodal mapping and terrain modelling

  • AI-assisted modelling and digital simulations

  • Environmental and ecological mapping

  • Social systems mapping and research support

  • Digital visualisation and spatial reporting
     

All services are delivered strictly in accordance with the agreed written scope, quote, or proposal.

No services outside the agreed scope will be provided unless confirmed in writing.


3. Professional Disclaimer
 
All services are provided on a professional consultancy basis.
Unless explicitly stated in writing:

  • MappLab does not provide licensed cadastral surveying services.

  • MappLab does not provide structural, civil, geotechnical, or engineering certification.

  • MappLab does not provide legal advice.

  • AI modelling outputs are analytical tools and do not constitute predictive guarantees.
     

All outputs must be independently verified where used for engineering, legal, regulatory, or construction purposes.

The Client assumes full responsibility for how deliverables are interpreted and applied.
 

4. Data Accuracy & Analytical Limitations
 
The Client acknowledges that:

  • Spatial data contains inherent tolerances and technical limitations.

  • Environmental conditions may affect capture accuracy.

  • Models and simulations represent conditions at the time of data acquisition.

  • AI outputs are probabilistic and analytical, not definitive predictions.
     

MappLab makes no warranty that deliverables are error-free or suitable for any purpose beyond the agreed scope.


 ​5. Client Responsibilities

The Client warrants that:

  • All supplied information is accurate and complete.

  • Required permissions and site access rights have been secured.

  • All cultural, environmental, and regulatory approvals have been obtained.
     

MappLab is not liable for errors arising from inaccurate or incomplete client-supplied information.
 

6. Regulatory Compliance
 
Where aerial or remote operations are involved:

  • All drone operations will comply with NZ CAA Part 101 or Part 102 requirements.

  • Flights may be delayed, modified, or cancelled due to weather, safety, or regulatory constraints.
     

MappLab reserves absolute discretion to refuse operations that present legal or safety risks.
 

7. Fees, Deposits & Payment

  • Quotes are valid for 14 days unless stated otherwise.

  • A non-refundable deposit may be required prior to commencement.

  • Final payment is due within 7 days of invoice.

  • GST is additional unless stated.

  • Late payments may incur 2% monthly interest.

  • Deliverables remain the property of MappLab until full payment is received.
     

MappLab may suspend or withhold services for overdue accounts.
 

8. Cancellations & Refunds
 
By the Client

  • Cancellation before commencement may result in forfeiture of deposit.

  • Cancellation after work has commenced will require payment for all work completed to date.

  • Cancellation within 48 hours of scheduled site operations may incur a cancellation fee.
     

By MappLab
 
MappLab may cancel or suspend services where:

  • Legal or regulatory compliance cannot be met.

  • Site safety cannot be assured.

  • Required permissions are not obtained.

  • Payment obligations are not met.
     

In such cases, fees for work already completed remain payable.

Refunds will not be issued for completed analytical work, modelling, or data processing.
 

9. Intellectual Property
 
Unless otherwise agreed in writing:

  • All raw data, workflows, code, scripts, models, and analytical methodologies remain the intellectual property of MappLab.

  • The Client is granted a limited, non-exclusive, non-transferable licence for the agreed project use only.

  • Deliverables may not be resold, sublicensed, modified, or redistributed without written consent.
     

MappLab retains the right to use anonymised outputs for research, portfolio, or demonstration purposes unless expressly restricted.
 

10. Confidentiality & Cultural Data
 
MappLab will treat confidential and culturally sensitive information with appropriate care. 
 
Where Indigenous or culturally significant data is involved:

  • Data will not be published or reused without explicit written consent.

  • Cultural rights remain with originating communities unless otherwise agreed.

  • See additional cultural clause under Data & Privacy Policy.
     

 
11. Limitation of Liability
 
To the maximum extent permitted by law:

  • MappLab shall not be liable for indirect, consequential, incidental, special, or economic losses.

  • MappLab shall not be liable for loss of profit, business interruption, reputational harm, or regulatory penalties arising from use of deliverables.

  • Total liability is strictly limited to the total fees paid for the specific project.
     

No claim may be brought more than 12 months after delivery of services.
 

12. Indemnity
 
The Client agrees to indemnify and hold harmless MappLab, its directors, contractors, and affiliates against any claims, losses, damages, liabilities, legal costs, or expenses arising from:

  • Misuse of deliverables

  • Redistribution without permission

  • Failure to obtain site permissions

  • Regulatory breaches attributable to the Client

  • Reliance on deliverables outside agreed scope
     

This indemnity survives termination of services.
 

13. Third-Party Reliance

  • Deliverables are prepared solely for the Client and the agreed project.

  • No third party may rely on deliverables without written consent.

  • MappLab accepts no responsibility to third parties.

 

14. Force Majeure
 
MappLab is not liable for delay or non-performance due to events beyond reasonable control, including:

  • Weather conditions

  • Airspace restrictions

  • Equipment failure

  • Regulatory changes

  • Natural events

  • Restricted site access
     

 
15. Termination
 

  • Either party may terminate by written notice.

  • The Client remains liable for all work performed up to termination.

  • Deposits are non-refundable once work has commenced.



16. Governing Law
 
These Terms are governed by the laws of New Zealand. Any disputes shall be subject to New Zealand courts.


17. Amendments
 
MappLab reserves the right to amend these Terms at any time. The latest version will be published on our website and applies to all new engagements.
